The pattern

Transactions in asset-intensive sectors are often advised by firms that know deals but not operations. The model is elegant. The inputs are borrowed from the information memorandum. The result is a valuation that survives the investment committee paper but not the first year of ownership.

The gaps show up later: synergies that never land, a cost base structurally higher than modelled, obligations nobody priced. By then the deal team has moved on and operations inherits the problem.
